The Great Bear Board has received oral opinions of the Great Bear Financial Advisors, which opinions have not been modified, amended, qualified or withdrawn, to the effect that, as of the date of this Agreement, and subject to the assumptions, limitations and qualifications set forth therein, the Consideration to be received pursuant to the Plan of Arrangement by the Great Bear Shareholders is fair, from a financial point of view, to such Great Bear Shareholders (the “Great Bear Fairness Opinions”).
