For purposes of this definition, “fair market value” will be determined on a per share basis and will mean the average closing price of Clovis common stock for the ten (10) trading days immediately preceding the date such Sublicensee or Distributor agreement is executed, or, if there is no trading market for the security issued, the good faith determination of the board of directors of Clovis as to its fair market value (taking into account, inter alia, the pricing of other recent security issuances by Clovis).
