Financing Proposal definition

Financing Proposal is a statement that sets forth (i) a preliminary estimate of the cost of constructing the Development, based on the Site Plans, and (ii) an estimate of the funds available from government and private sources to pay the cost of constructing the Development.
Financing Proposal has the meaning set forth in Section 3.1(c).
Financing Proposal means the Developer’s initial proposal for financing the acquisition of the Property and the construction of the Development, including an estimate of the sources and uses of funds, which is attached hereto as Exhibit K.

More Definitions of Financing Proposal

Financing Proposal means any proposal for a merger or other business combination involving the Company, or any proposal or offer to acquire in any manner an equity interest in or a material portion of the assets of the Company (other than sales in the ordinary course of business consistent with past practice), to extend indebtedness to the Company or to acquire any of the Options or the Shares. If any of the Capital Stockholders receives a Financing Proposal during such period of time, such Capital Stockholder shall notify the Purchaser immediately and shall provide to the Purchaser a copy of any written documentation of such Financing Proposal.
Financing Proposal means any inquiry, proposal or offer (whether or not in writing) from any Person or group of Persons (other than Parent and its Affiliates) relating to, in a single transaction or series of related transactions, any direct or indirect action that the Company and its Subsidiaries are prohibited from taking, without the prior written consent of Parent (not to be unreasonable conditioned, withheld or delayed), pursuant to Section 5.01(b)(i) or 5.01(b)(xiv)(A); provided, however, that no debt financing activities requested by Parent pursuant to Section 5.12 shall be deemed a “Financing Proposal.”

Financing Proposal means any (i) proposed equity issuance by the Company, including any issuance of Common Shares or other securities (including equity-linked securities), interests (including partnership interests), rights to purchase, warrants, options, participations or other equivalents of or interests (however designated), including any preferred stock, (ii) proposed debt issuance by the Company, including any Indebtedness for borrowed money, credit arrangements, bond issuance, term loan, revolving loan, trust preferred issuance, hybrid bonds, notes, collateralized obligations, mortgages, sale leaseback arrangements or other financing arrangements or (iii) any combination of the foregoing, whether or not any of the foregoing also include a Change of Control Proposal; provided, however, that none of the following shall constitute a Financing Proposal: (A) any Permitted Offering and (B) the issuance of Common Shares on conversion of any of the Warrants.
Financing Proposal means, other than with respect to the transactions contemplated by this Agreement, any offer or proposal made by any Person or “group” (within the meaning of Section 13(d) of the Exchange Act) relating to or providing for, in any single transaction or series of related transactions, directly or indirectly, (A) the purchase of beneficial or record ownership of the Company’s securities or any securities of its Subsidiaries, or (B) any merger, consolidation, share exchange, business combination, joint venture, reorganization, recapitalization or other similar transaction involving the Company or any of its Subsidiaries, in each case of the foregoing clauses (A) and (B), the primary purpose of which is to raise additional capital for the Company and/or its Subsidiaries, or (C) any other transaction having a similar effect to those described in the foregoing clauses (A) and (B), the primary purpose of which is to raise additional capital for the Company and/or its Subsidiaries. “GAAP” means U.S. generally accepted accounting principles, as applied by the Company consistently over the relevant periods.
