Pursuant to such First Offer Notice, Landlord shall offer to lease to Tenant the then available First Offer Space.
If, during the Exclusivity Period, Seller desires to enter into an obligation or agreement with a third party, Seller shall deliver to Buyer a certificate of an authorized officer of Seller (A) summarizing the material terms and conditions of such agreement and (B) certifying that the proposed agreement with the third party will not provide Seller with a lower rate of return than that offered in the First Offer to Buyer.
A copy of the Offering Amendment shall be sent to Tenant within a reasonable time after Landlord’s receipt of the Notice of Exercise executed by Tenant, and Tenant shall execute and return the Offering Amendment to Landlord within 15 days thereafter, but an otherwise valid exercise of the Right of First Offer shall be fully effective whether or not the Offering Amendment is executed.
The construction of improvements in the First Offer Space shall comply with the terms of Article 8 of this Lease.
The Right of First Offer may be assigned in whole or in part by the Sponsor to any of its members without the prior consent of the Company.
