Foreground IP definition

Foreground IP means IP and IP Rights conceived, developed or created by, for or with Seller either alone or with third parties, in the performance of this Contract, including modifications to any Buyer Specification suggested by Seller.
Foreground IP means all intellectual property and Intellectual Property Rights generated under these Terms; and
Foreground IP means IP which results from or is generated pursuant to or for the purpose of this Contract.

  • RMSI hereby grants to the Client a royalty-free, non- exclusive, non-transferable license to use any Foreground IP and RMSI' Background IP (in object code only where this is software) as necessary to allow the Client to use the Services and deliverables produced by RMSI for the objectives set out in the Agreement.

  • The Company hereby grants the University a perpetual, irrevocable, worldwide non-exclusive royalty free licence to use the Foreground IP for the purposes of academic research, teaching and collaboration, including any collaboration with third parties provided that such third parties are not granted any rights to exploit the Foreground IP.

  • Any use of the University-owned Background IP or any use of the Foreground IP by the Company shall be at the Company’s sole risk.

  • In the event of the Company intimating that it wishes to seek intellectual property protection of its Foreground IP, the University shall refrain from presenting or publishing the relevant text for a period of up to ninety (90) days (or such other period as may be agreed by the Parties), to allow such protection to be pursued.

  • Notwithstanding the provisions of clause 6 above, it is recognised that the University will be expected to publish Foreground IP and otherwise disclose such Foreground IP in accordance with academic practice.

Foreground IP means all Intellectual Property, information, data, software and materials identified, created or first reduced to practice or writing in the course of the Project.
