Foreign Benefit Arrangement definition

Foreign Benefit Arrangement means any employee benefit arrangement mandated by non-U.S. law that is maintained or contributed to by any Credit Party or any of its Subsidiaries.
Foreign Benefit Arrangement any employee benefit arrangement mandated by non-US law that is maintained or contributed to by any Group Member or any ERISA Affiliate.
Foreign Benefit Arrangement has the meaning specified in Section 4.01(p)(vi).

  • To the knowledge of the Borrower, there has been no prohibited transaction or violation of the fiduciary responsibility rules with respect to any Pension Plan (or similar occurrence with respect to any Foreign Plan or Foreign Benefit Arrangement) that has resulted or could reasonably be expected to result in a Material Adverse Effect.

  • Except as set forth in Schedule 5.13, none of CSSW Parent, the Borrower or any of the Borrower’s Subsidiaries has, or at any point in the past has had, any employees, or maintained, sponsored, administered or participated in any Plan or any Foreign Plan or Foreign Benefit Arrangement.

  • Notwithstanding the forgoing, nothing in this Section 7.28 shall apply in respect of any Plan, any Foreign Plan, any Foreign Benefit Arrangement or any Compensatory Award or shall prohibit Holdings, the Borrower or any Restricted Subsidiary from entering into agreements or arrangements permitted by Section 7.20.
