Notwithstanding the foregoing, the Borrower agrees to use commercially reasonable efforts for a period of one year after the occurrence of the applicable Foreign Disposition or Foreign Casualty Event to use other cash resources of the Borrower and its Subsidiaries (subject to the limitations set forth in this clause (iv)) to make any such mandatory prepayment required by this Section 4.4(b).
Notwithstanding any other provision of this Section 4.4(b), to the extent that any or all of the Net Cash Proceeds of a Foreign Disposition or the Net Cash Proceeds of any Foreign Casualty Event is prohibited or delayed by applicable local law from being repatriated to the United States, the portion of such Net Cash Proceeds so affected will not be required to be applied to make a prepayment of the Loans at the time provided in this Section 4.4(b), as the case may be.
