Foundry Products definition

Foundry Products and/or "Products" shall mean those integrated circuits designed and/or licensed by one or more of the Venturers and/or any of the subsidiaries of the Venturers which FabVen manufactures for sale by the specific Venturer involved under this Foundry Capacity Agreement.
Foundry Products means Mobile Devices which are: (a) designed by or for a third party without substantial input from Samsung or its Affiliates, and manufactured, reproduced, sold, leased, licensed, distributed or otherwise transferred from Samsung or its Affiliates to that third party (or to customers of, or as directed by, that third party); or (b) designed, manufactured, reproduced, sold, leased, licensed, distributed or otherwise transferred through or by Samsung or its Affiliates for or on behalf of a third party for the primary purpose of attempting to make such products licensed or immune from suit with respect to any Licensed Software or any Immersion Patent; provided, however, that Mobile Devices designed and manufactured pursuant to the request by carriers shall not constitute Foundry Products so long as such Mobile Devices are branded (or co-branded) with Samsung’s brand.
Foundry Products means products cast from ferrous and nonferrous metals by foundries in the United States.

Examples of Foundry Products in a sentence

  • For the avoidance of doubt, except as expressly set forth in Section 2.1(d)(ii), no license is granted under any Rambus Applicable Product Claims for any Foundry Products.

  • Except as expressly set forth in Sections 2.1(d)(i) and 2.1(d)(ii) below, all Foundry Products are expressly excluded from the licenses granted under Sections 2.1(a), 2.1(b) and 2.1(c) of this Agreement.

More Definitions of Foundry Products

Foundry Products means and includes any product(s) which are either (i) designed by or for a third party without substantial input from one of the parties (or an Affiliate) hereto (the “Acting Party”), and manufactured, reproduced, sold, leased, licensed or otherwise transferred from the Acting Party to such third party or to customers of such third party; or (ii) designed, manufactured, reproduced, sold, leased, licensed or otherwise transferred through or by the Acting Party for the primary purpose of circumventing any Licensed Patents of the other party to this Agreement for the primary benefit of a third party that would otherwise have been viewed as the source of such product and would have required a license to the other party’s Licensed Patents.
Foundry Products means any products or services designed by, or for, a specific Entity and sold, leased or otherwise transferred through or by a Licensee hereunder for the primary purpose of attempting to make such products or services licensed or immune under Patents licensed hereunder so that any Entity can receive the benefit of such license or immunity with respect to such products or services.
Foundry Products means Mobile Devices which are: (a) designed by or for a third party without substantial input from Samsung or its Affiliates, and manufactured, reproduced, sold, leased, licensed, distributed or otherwise transferred by or from Samsung or its Affiliates to that third party (or to customers of, or as directed by, that third party) for sale or distribution by that third party with that third party's brand; or (b) designed, manufactured, reproduced, sold, leased, licensed, distributed or otherwise transferred through or by Samsung or its Affiliates for or on behalf of a third party for the primary purpose of attempting to make such products licensed or immune from suit with respect to any Immersion TouchSense Software or any Immersion Patent; provided, however, that Mobile Devices designed and manufactured pursuant to the request by carriers shall not constitute Foundry Products so long as such Mobile Devices are branded (or co-branded) with Samsung’s brand.
Foundry Products means products made using certain proprietary foundry alloys and processes, including without limitation SUPRACAST, VERSACAST, EZCAST, and EVERCAST SERIES. The license grant with respect to Technology pertaining to Foundry Products ( including without limitation as set forth in Schedule 5) is a worldwide and non-exclusive (except as set forth below), royalty-free right and license (including a limited right to sublicense, as set forth below) to make and have made, to use and have used, to sell and have sold, to offer for sale and have offered for sale, to export and have exported, and to import and have imported the Foundry Products and to practice and use the Technology applicable to the Foundry Products. With respect to Technology ( including without limitation as set forth in Schedule 5) relating to Licensed Products pertaining to “commercial truck wheel applications” (defined as commercial truck wheels and commercial wheel hubs having carrying capacity greater than five tons) for EVERCAST alloy flow path variants, the license granted herein shall be exclusive (even as to Licensor), but the exclusivity shall terminate automatically on March 31, 2021 in the event that Licensee fails to achieve sales of such Licensed Products resulting in manufacturing of such Licensed Products at a minimum “run rate” of 500,000 pounds per year for such Licensed Products by December 31, 2020. The license granted herein relating to Foundry Products shall not include any right to sublicense in any geographic area in which Licensor has a physical place of business. In any such country, Licensor will offer Licensee the first opportunity to purchase these alloys at competitive market terms. In the event that Licensee wishes to sublicense any Technology applicable to Foundry Products to a third party in a geographic area in which Licensor has no physical place of business as of the Effective Date, Licensee must obtain the prior written approval of Licensor, such approval not to be unreasonably withheld. Foundry Products means: (a) a product manufactured by a manufacturer for or on behalf of a specific third party, using designs or specifications received in a substantially completed form from and owned by such third party, for resale or re-license to or on behalf of such third party for its commercialization of such products; or (b) any Products and Services designed by or for a specific third party and sold, leased or otherwise transferred through or by a Licensee hereunder for the primary purpose of attempting to make such Products and Services licensed or immune under Patents licensed hereunder so that any third party can receive the benefit of such license or immunity with respect to such Products and Services.
Foundry Products means products or services that are (i) designed by or for a third party without substantial input from the licensee (Buyer or Seller, as applicable), and manufactured, reproduced, sold, leased, licensed, distributed or otherwise transferred from the licensee (Buyer or Seller, as applicable) to that third party (or to customers of, or as directed by, that third party); or (ii) designed, manufactured, reproduced, sold, leased, licensed, distributed or otherwise transferred through or by the licensee (Buyer or Seller, as applicable) on behalf of a third party for the primary purpose of attempting to make such product or service licensed or immune from suit under the patents of the licensor (Seller or Buyer, as applicable) licensed under this Agreement.
