The Administrative Agent shall have received customary UCC, tax and judgment lien searches with respect to the Borrower and the Grantors in their applicable jurisdictions of organization, reflecting the absence of Liens and security interests other than those being released on or prior to the Fourth Amendment Effective Date or which are otherwise permitted under the Credit Documents.
The Petra Acquisition shall have been consummated, or shall be consummated substantially concurrently with the Fourth Amendment Effective Date, in all material respects in accordance with the terms of the Petra Acquisition Agreement, after giving effect to any modifications, amendments, consents or waivers thereto.
