More Definitions of Fund Investments
Fund Investments means all Cash, Cash Equivalents, Bank Loans and Corporate Bond Securities owned by the Borrower, together with any other financial asset that the Administrative Agent has expressly agreed to in writing may be included as a “Fund Investment”. After the Closing Date, Fund Investments which the Borrower has contracted to (i) purchase shall be deemed for purposes of the Credit Agreement to be owned by the Borrower from the date of settlement of such purchase and (ii) sell shall cease to be Fund Investments for purposes of the Credit Agreement from the date of settlement. For the avoidance of doubt, “Fund Investments” shall not include Trade Claims.”
Fund Investments means, collectively, Investments directly or indirectly in Equity Interests of, and indebtedness issued by, investment funds.

Fund Investments. The Fund has been formed for the purpose of purchasing interests in multiple unregistered Portfolio Company Securities (as defined in the Main Definitions page) that align with the overall Investment Objective and Strategies of the Fund. The Portfolio Company Securities will typically be acquired by the Fund directly from the Portfolio Company in a private placement conducted by the Portfolio Company in accordance with Regulation D of the Securities Act of 1933 (the “Private Placement”). The Fund will participate in a given Private Placement with other investors, and the price paid by the Fund for the Portfolio Company Securities will be the issue price established by the Portfolio Company in the Private Placement, which may not be comparable to prices paid by those other investors, or reflect comparable terms. Investment in the Fund is designed only for sophisticated persons who are able to bear the total loss of their capital contribution to the Fund.
