The Company shall prepare and, as soon as practicable, but not later than thirty (30) calendar days after the Closing Date (the “Filing Deadline”), file with the SEC a Registration Statement on Form F-1 (or any other form for which the Company then qualifies) covering the resale of all of the Registrable Securities, subject to each applicable Purchaser having paid its Subscription Amount in full on or before the Funding Deadline.
Settlement of the Shares shall occur on the Closing Date, upon which the Company shall issue the Securities registered in the Purchasers’ names and addresses, and the Shares shall be released by the Transfer Agent directly to the account(s) identified by each Purchaser; upon receipt of such Shares, and payment therefor shall be made by each Purchaser (or its clearing firm) by wire transfer to the Company on or before the Funding Deadline.
If any Purchaser fails to pay its Subscription Amount in full on or before the Funding Deadline, such failure shall constitute a material breach of this Agreement by such Purchaser.
