Funding Event definition

Funding Event means any transaction or series of transactions closed after the Original Issue Date in which the Obligor raises $1,000,000 or more through the sale of their equity securities or securities exercisable or convertible into equity securities.
Funding Event means on any day (the “Date of Determination”), BNP Paribas’ long-term credit rating has declined to a level three or more notches below its highest rating by any of Standard & Poor’s Ratings Services, Xxxxx’x Investor Service, Inc. or Fitch Ratings, Ltd. during the period beginning on and including date of this Agreement and ending on and including such Date of Determination.
Funding Event means the occurrence of any of the following events as administratively determined by the Southern Committee:

Examples of Funding Event in a sentence

  • Each Issuer Party shall have duly executed and delivered to the Investors and, if applicable, the Collateral Agent and the Notes Agent, the following documents to which it is a party: (A) Funding Notice in the time period specified in Section 1(f); (B) each Bridge Note to be issued hereunder at such Funding Event; and (C) each New Warrant to be issued hereunder at such Funding Event.

  • The Note Obligors’ obligation to issue and sell the Notes at each Funding Event to each respective Investor is subject to the fulfillment, on or prior to the applicable Funding Event, of the following conditions, any of which may be waived in whole or in part by the Note Obligors: (a) Representations and Warranties.

  • At such Funding Event, the sale and issuance by the Note Obligors, and the purchase by such Investor, of the Notes and Warrants shall be legally permitted by all laws and regulations to which such Investor or the Note Obligors are subject.

  • At such Funding Event, the sale and issuance by the Note Obligors, and the purchase by such Investor, of the Notes shall be legally permitted by all laws and regulations to which such Investor or the Note Obligors are subject.

  • Each Issuer Party shall have duly executed and delivered to the Investors and, if applicable, the Collateral Agent and the Notes Agent, the following documents to which it is a party: (A) Funding Notice in the time period specified in Section 1(f); (B) each Second Additional Note to be issued hereunder at such Funding Event; and (C) each Note to be amended and restated pursuant to Amendment No. 5.


More Definitions of Funding Event

Funding Event means any transaction or series of transactions closed after the Original Issue Date in which the Obligor raises $7,000,000 or more through the sale of their equity securities or securities exercisable or convertible into equity securities.
Funding Event means any transaction or series of transactions closed after the Original Issue Date in which the Obligor raises $10,000,000 or more through the sale of their equity securities or securities exercisable or convertible into equity securities.
Funding Event means the closing of a capital raise transaction by the Company that raises $1 million or more of net proceeds for the Company from the issuance of preferred stock, Common Stock or any other security convertible into Common Stock or preferred stock.
Funding Event means the consummation by the Company or any of its Subsidiaries after the date hereof of (a) any equity or debt financing, or (b) any sale, transfer, license or similar arrangement (including by means of a joint venture) whereby the Company or any of its Subsidiaries sells, transfers, licenses or otherwise grants an interest in any material portion of its assets (including Intellectual Property Rights) to another Person, provided that the consummation of a transaction under Section (a) and/or (b) results in cash proceeds to the Company, net of all costs and expenses, of at least Three Million Five Hundred Thousand Dollars ($3,500,000).
Funding Event means any transaction or series of transactions closed after the Original Issue Date in which the Company or the Parent, or both collectively, raise $4,000,000 or more gross through the sale of their equity securities.
