Future Payments definition

Future Payments means, in each case, when, if and to the extent payable hereunder and without duplication, (i) each of the Milestone Payments (together with any Milestone Interest in respect of late Milestone Payments due and payable in accordance with Section 7.13(c)), and (ii) the Escrow Release Amounts.
Future Payments means, collectively, (i) any Closing Excess that becomes payable to Company Equityholders pursuant to Section 1.12(b)(ii), plus (ii) any portion of the General Escrow Fund or the Adjustment Escrow Fund that may become distributable to Company Equityholders pursuant to this Agreement and the Escrow Agreement, plus (iii) any Company Equityholder Representative Account Payment that becomes payable to Company Equityholders pursuant to Section 1.11(i), plus (iv) any portion of the Milestone Consideration that becomes payable pursuant to this Agreement (less any Set-Off Amount withheld therefrom pursuant to Section 7.6(a)), and plus (v) any portion of a Set-Off Amount that becomes payable by the Buyer pursuant to Section 7.6(c), with interest as provided therein.
Future Payments means, collectively, (a) any Adjustment Amount payable by the Buyer pursuant to Section 1.12, plus (b) any portion of the Milestone Consideration that becomes payable pursuant to this Agreement (less (x) any amount payable by the Company pursuant to the Broker Obligations with respect to such Milestone Payment and (y) any Set-Off Amount withheld therefrom pursuant to Section 7.6(a)), plus (c) any portion of a Set-Off Amount that becomes payable by the Buyer pursuant to Section 7.6(c).
