Future Product definition

Future Product means either a Xerox Future Product or a Conduent Future Product, as the context requires.

Future Product means any product, other than the Product, and all improvements to such product, that OraSure Controls at any time during the Term, that is used for the point-of-care detection of HCV antibodies in humans.

Future Product means all orally administered pharmaceutical products [***] for human use, containing [***] in any strength, plus the Aversion® Composition [***] for Commercialization in the Field in the Territory (other than Product A and Product B), in each case other than any Product Line Extension.

Examples of Future Product in a sentence

• AMD shall have no purchase commitment with respect to any Other Future Products; provided, however, that in the event AMD introduces a tape-out of any Other Future Products, FoundryCo shall have a right of first refusal in accordance with the process set forth in Exhibit B to manufacture such Other Future Product (including the first tape-out of such Other Future Product), subject to Qualification of such Other Future Product at such Process Node.

• The foregoing request/approval process shall also apply during NPI for any Transfer Product or Future Product.

• In such case, OraSure shall promptly notify AbbVie in writing setting forth information about such Future Product as is reasonably requested by AbbVie.

• If during the Term OraSure Controls a Future Product and OraSure decides to commercialize such Future Product in the Field in the Territory, AbbVie shall have the right of first refusal to co-promote such Future Product in the Field in the Territory (the “Right of First Refusal”).

• AMD agrees to invite FoundryCo to participate in the RFQ process for any and all GPU Products and Other Future Products that are being developed within AMD (including the first tape-out of such GPU Product or Other Future Product) that could potentially be manufactured at FoundryCo. AMD agrees to share present and future product requirements with FoundryCo so that FoundryCo can adequately respond to any RFQ requests coming from AMD.

Future Product means [****].

Future Product means any product in development by Sonos that may become a Product under the terms of this Agreement. A Future Product is not considered a Product until (i) NPI is complete, (ii) a Statement of Work has been signed by both parties with respect to such Future Product, and (iii) Mass Production commences on such Future Product.

Future Product means any and all Products (other than the Initial Products), including any Improvements thereto, and any Improvements to the Initial Products, that are Manufactured by Manufacturer and subject to a Future Product Development Agreement, if needed, or that the Parties otherwise mutually agree to in writing in the future shall become part of this Agreement.

Future Product means: (i) any Component that meets all of the following requirements: (x) it is developed by or for Seller or its Affiliates based on a design (A) owned by and created by or for Seller or its Affiliates or (B) jointly owned and created by Seller or its Affiliates with a third party (other than [...***...]) (y) it does not incorporate or contain, in whole or in part, any Component which is primarily or entirely developed by or for, designed by or for, or otherwise obtained from [...***...] and which would (without a valid license or other grant of rights from Purchaser or the proper exercise of the Retained Rights by Seller) directly or indirectly infringe any of the Patents; and (z) it does not, to Seller’s and each of Seller’s Affiliates’ knowledge, incorporate or contain, in whole or in part, any Supplier Items; or (ii) any finished and complete application specific integrated circuit or circuit board that meets all of the following requirements: (w) it is developed by one or more third parties (other than [...***...]) based exclusively on a design of such one or more third parties (other than [...***...]), (x) it is marketed, resold and distributed on a stand-alone basis by Seller or its Affiliates to a Customer under a brand of Seller or its Affiliates; (y) it does not incorporate or contain, in whole or in part, any Supplier Items; and (z) it complements product portfolio of Seller or its Affiliates and the decision of Seller or its Affiliates to market, resell, and distribute such application specific integrated circuit or circuit board is based on a legitimate business purpose, and not to assist any third party in engaging in any patent laundering activities as described in Section 6 of this Schedule 2.5. If, at any time, Seller’s or any of Seller’s Affiliates becomes aware that a Component described in Subsection (i) of the definition of “Future Product” either incorporates or contains any Supplier Items, * Confidential Treatment Requested Confidential and Proprietary to Purchaser and Seller

Future Product has the meaning set forth in the IP Agreement.

Future Product means any BIONIK medical device products other than the Current Products that BIONIK may at any time during the Term of this Agreement propose to market in the Territory.

Future Product means any Biosimilar that Alvotech may develop or acquire to any product other than any Specific Reference Product; provided that Future Products shall not include Biosimilars to [***].
