Gaming Problem definition

Gaming Problem means circumstances such that any Member, any Affiliate of any Member or any Related Party of any Member or of any Affiliate of any Related Party may preclude or materially delay, impede or impair the ability of the Company or Aladdin Gaming to obtain or retain any licenses required by the Nevada Gaming Authorities for the conduct of business of the Company, Aladdin Gaming and their Subsidiaries, or such as may result in the imposition of materially burdensome terms and conditions on any such license.
Gaming Problem means any circumstances that cause any member, manager, director, officer, or employee of the Company or any Member, or any Affiliate of any such Person, to be deemed likely, in the reasonable discretion of the Board, based on verifiable information or information received from any Gaming Authority or otherwise, to preclude or materially delay, impede or impair the ability of the Company, any subsidiary of the Company, Pinnacle, or any Affiliate of Pinnacle to obtain or retain any Gaming Licenses, or that may result in the imposition of materially burdensome terms and conditions on any such Gaming License.
Gaming Problem means any circumstances that are deemed likely, in the sole and absolute discretion of SAW, based on verifiable information or information received from any Gaming Authority or otherwise, to preclude or materially delay, impede or impair the ability of Wynn or any subsidiary of Wynn to obtain or retain any Gaming Licenses, or to result in any disciplinary action, including without limitation the imposition of materially burdensome terms and conditions on any such Gaming License.

Examples of Gaming Problem in a sentence

  • This Agreement shall terminate automatically (a) upon a Change of Control of Recipient or (b) if Recipient, Service Provider or any of its Service Providing Affiliates or Third Party Service Providers or their respective employees experiences a Gaming Problem and fails to cure such Gaming Problem within thirty (30) days or such later time as the Parties may agree upon in writing.

  • Notwithstanding anything herein to the contrary, any Manager may be removed from his or her position as such upon a good faith finding of the Board that such director has a Gaming Problem that cannot be cured, in each case, pursuant to the terms of Section 8.1.

  • To the extent permitted by the Nevada Gaming Authorities, the Members, the Managers and the Company shall use their commercially reasonable efforts to assist in the elimination of such Gaming Problem, including facilitating the transfer of Interests (whether to another Member or another Person).

  • Each appointing Voting Member may, by written notice to the others, remove any Manager appointed by such Voting Member and appoint a substitute therefor; provided, such removal and appointment does not and is not reasonably expected to cause a Gaming Problem.

  • In the event the Managers shall determine, in good faith, based upon verifiable information and specific provisions of the applicable Gaming Laws or upon specific information received from the Nevada Gaming Authorities, that a Gaming Problem exists, then the Company shall provide written notice to the applicable Member requesting that such Member provide for the elimination of the Gaming Problem.

Gaming Problem means any circumstance such that a party’s participation in the Ho Tram Project is deemed likely, based on verifiable information or information received from any Gaming Authority or otherwise, to preclude or materially delay, impede, or impair the ability of such party or any other party to this Agreement or any of their respective Entity Affiliates, or any business entity with respect to which such party, such other party to this Agreement or such Entity Affiliate holds a Gaming License, to obtain or retain any Gaming License (whether upon initial grant, renewal or otherwise), or to result in the imposition of disciplinary action, including without limitation financial penalties or materially burdensome terms, limitations and conditions on any Gaming License.
Gaming Problem means (a) a determination by any Gaming Authority that Recipient, Service Provider or any of its Service Providing Affiliates, Third Party Service Providers or their respective employees does not or has failed to satisfy any suitability, eligibility or other qualification criteria pursuant to any applicable Gaming Laws with respect to any Gaming License, including any character or suitability criteria thereunder, or (b) circumstances such that Recipient, Service Provider or any of its Service Providing Affiliates, Third Party Service Providers or their respective employees is deemed likely, in the reasonable discretion of the other Party, to preclude or materially delay, impede or impair the ability of the other Party, or any of its officers, directors, shareholders, partners, members, employees, trustees, representatives, to obtain, maintain or renew any Gaming License, or such as may result in the imposition of materially burdensome terms and conditions on, or the revocation or suspension of, any Gaming License.
Gaming Problem means, a determination by the Board that a “Gaming Problem” exists following the occurrence of any of the following: (i) a communication from a Gaming Authority that the Company or any Gaming Related Person does not satisfy any suitability, eligibility or other qualification criteria pursuant to any applicable Gaming Laws with respect to a Gaming License, including any character or suitability criteria thereunder; (ii) a communication from a Gaming Authority that a Gaming Related Person must divest itself of any interest in, as applicable, or disassociate from, the Company or its Affiliates; or (iii) circumstances such that any Gaming Related Person is deemed likely, in the reasonable discretion of the Board based on verifiable information received from any Gaming Authority or otherwise, to preclude or materially delay, impede or impair the ability of the Company, the Member and/or its Affiliates or any Gaming Related Person of the foregoing to obtain, maintain or renew a Gaming License, or such as may result in the imposition of materially burdensome terms and conditions on, or the revocation or suspension of, such a Gaming License. For the avoidance of doubt, the imposition of monetary fines by a Gaming Authority will not generally constitute a “Gaming Problem” unless accompanied by one of the three factors set forth in the preceding sentence.

Gaming Problem means (i) a determination by any Gaming Authority that any Bidder or any Key Person does not satisfy any suitability, eligibility or other qualification criteria pursuant to any applicable Gaming Laws with respect to a Gaming License, including any character or suitability criteria thereunder, (ii) a determination by any Gaming Authority that a Bidder or a Key Person must divest itself of any direct or indirect interest in, or disassociate itself from, Holdco, any Bidder or its Affiliates, or (iii) circumstances such that any Bidder or Bidders (or one or more of its Key Persons) would be likely, based on verifiable information received from any Gaming Authority or otherwise with respect to such Bidder or Bidders or Key Person or Key Persons, in the reasonable discretion of all other Bidders, to preclude or materially delay, impede or impair the ability of Holdco, any Bidder or any Key Person of the foregoing to obtain, retain or renew a Gaming License, or such as may result in the imposition of materially burdensome terms and conditions on, or the revocation or suspension of, such a Gaming License. For the avoidance of doubt, the imposition of monetary fines by a Gaming Authority will not generally constitute a "Gaming Problem" unless accompanied by one of the three factors set forth in the preceding sentence.
