German Borrowers definition

German Borrowers means each Subsidiary of European Borrower organized under the laws of the Federal Republic of Germany, and designated as such on Schedule 1.1(d), and each other Subsidiary of European Borrower organized under the laws of the Federal Republic of Germany and requested by European Borrower to be a German Borrower, subject to the approval of Administrative Agent.
German Borrowers means (i) LKQ German Holdings GmbH, a German limited liability company (Gesellschaft mit beschränkter Haftung) and (ii) any other Foreign Subsidiary Borrower organized under the laws of Germany that is designated as a German Borrower by the Company.
German Borrowers means the German-1 Borrower and the German-2 Borrower and “German Borrower” shall mean either one of them.

Examples of German Borrowers in a sentence

  • The German Borrowers shall take all appropriate corporate action required to authorize and ratify the execution and delivery of the Loan Documents by the German Borrowers and the consummation of the transactions thereunder by such German Borrowers.

  • In no event may the Canadian Borrower or any of the German Borrowers be designated as an Unrestricted Subsidiary.

  • Notwithstanding anything in any Loan Document to the contrary, the parties hereto acknowledge that all amounts with respect to fees and expenses owing to the Agent (in its capacities as agent or collateral agent hereunder and not in their capacity as a Lender hereunder) for its own account (as opposed to for the account or benefit of any other Secured Party) are owed exclusively by the U.S. Obligors and not by (i) the German Borrowers and (ii) the European Guarantors with a seat in Germany.

  • Without prejudice to the operation of Section 2.15, provided the Lenders are Qualifying Lenders and subject to the completion by the Lenders of any procedural formalities, none of the German Borrowers, the U.K. Borrower or the Irish Borrower is required to make any deduction for or on account of Tax from any payment it may make under this Agreement.

German Borrowers means (i) Allmess GmbH, a Germany limited liability company, registered with the commercial register of the local court (Amtsgericht) of Lübeck under HRB 233 OL, (ii) Itron Holding Germany GmbH, a Germany limited liability company, registered with the commercial register of the local court (Amtsgericht) of Mannheim under HRB 110522, (iii) Itron GmbH, a Germany limited liability company, registered with the commercial register of the local court (Amtsgericht) of Mannheim under HRB 106481, (iv) Itron Xxxxxx & Systemtechnik GmbH, a Germany limited liability company, registered with the commercial register of the local court (Amtsgericht) of Hanover under HRB 100575 and (v) any other Foreign Subsidiary organized under the laws of the Federal Republic of Germany and designated as a Foreign Borrower pursuant to Section 2.23.
German Borrowers means any Borrower which is incorporated in Germany.

German Borrowers means GDTG, Goodyear KG and Dunlop KG.
German Borrowers means Bidco and each member of the Group incorporated in Germany which is entitled to become a borrower and becomes a borrower hereunder by executing an Accession Notice after the date of this Agreement;
