The agreement is formulated according to the provisions of German Company Law and is subject to the jurisdiction of German courts.
The Agent shall have received from C▇▇▇▇▇▇▇▇ & B▇▇▇▇▇▇ LLP, counsel for the Agent, such opinion or opinions, on or before the date on which the delivery of the legal opinions of U.S. Company Counsel and German Company Counsel is required pursuant to Section 7(n), with respect to such matters as the Agent may reasonably require, and the Company shall have furnished to such counsel such documents as they may request to enable them to pass upon such matters.
The Agent shall have received the opinions and negative assurance letters, as applicable, of U.S. Company Counsel, German Company Counsel and Intellectual Property Counsel required to be delivered pursuant to Section 7(n) and Section 7(o), as applicable, on or before the date on which such delivery of such opinions and negative assurance letters are required pursuant to Section 7(n) and Section 7(o), as applicable.
This does not only include the claims arising from the employment relationship, but also claims arising from agreements on time value account balances (hereinafter referred to as Time Account Entitlements), all rights and obligations arising from the Pension Commitments as defined by the German Company Pensions Act (hereinafter referred to as Pension Commitments).
