Global Coordinator definition

Global Coordinator means RBS Securities Inc.

Global Coordinator means Citibank, N.A., in its capacity as global coordinator, and left lead mandated lead arranger and joint-bookrunner.

Global Coordinator other than the Administrative Agent, shall have the right, power, obligation, liability, responsibility or duty under this Agreement or any Loan Document other than those applicable to all Banks as such. Without limiting the foregoing, none of the Banks so identified shall have or be deemed to have any fiduciary relationship with any Bank. Each Bank acknowledges that it has not relied, and will not rely, on any of the Banks so identified in deciding to enter into this Agreement or not taking action hereunder.

Examples of Global Coordinator in a sentence

• Any such time and date of delivery for the U.S. Option Securities (a "Date of Delivery") shall be determined by the Global Coordinator, but shall not be later than seven full business days after the exercise of said option, nor in any event prior to the Closing Time, as hereinafter defined.

• In addition, in the event that any or all of the U.S. Option Securities are purchased by the U.S. Underwriters, payment of the purchase price for, and delivery of certificates for, such U.S. Option Securities shall be made at the above-mentioned offices, or at such other place as shall be agreed upon by the Global Coordinator and the Company, on each Date of Delivery as specified in the notice from the Global Coordinator to the Company.

• The Underwriters will concurrently enter into an Intersyndicate Agreement of even date herewith (the "Intersyndicate Agreement") providing for the coordination of certain transactions among the Underwriters under the direction of Xxxxxxx Xxxxx & Co., Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated (in such capacity, the "Global Coordinator").

Global Coordinator shall have the meaning assigned to such term in the introductory paragraph of this Agreement.

Global Coordinator s and Sponsors' responsibilities: Subject to any other provision of this Agreement (including but not limited to clause 8.3), the Global Coordinator and Sponsors shall not be responsible for the payment (by deduction from the gross proceeds or otherwise) of any fees, costs, charges and expenses of or incurred by the Company which are agreed to be paid by the Company pursuant to the provisions of this Agreement (including but not limited to clause 8.3).
