Global Offering has the meaning given to it in Recital (A);

  • Subject to Clause 13.1, for the avoidance of doubt, the restriction contained in this Clause 13 shall continue to apply after the completion of the Global Offering and the matters and arrangements referred to or contemplated in this Agreement or, for so long as any of the Joint Sponsors or the Overall Coordinators remain as a sponsor or adviser to the Company, the termination of this Agreement.

  • Neither the Joint Sponsors, the Overall Coordinators nor the settlement agent to be appointed by the Company under the International Underwriting Agreement shall have any responsibility to the Underwriters or any other relevant party for their receipt or collection of any of their out-of-pocket expenses in respect of the Global Offering.

  • Each of the Warrantors hereby undertakes to the Joint Sponsors and the Underwriting Parties not to, and shall procure that neither the Company nor any other member of the Group shall, do or omit to do anything or permit to occur any event which would or might render any of the Warranties untrue, incorrect, misleading or breached in any respect at any time up to the last to occur of the dates and times specified in Clause 8.2 or which could materially and adversely affect the Global Offering.

  • The undertakings in this Clause 9 shall remain in full force and effect notwithstanding the completion of the Global Offering and the matters and arrangements referred to or contemplated in this Agreement.

  • Any review by the Underwriting Parties and the Joint Sponsors of the Company, the transactions contemplated by this Agreement or otherwise by the Global Offering or the listing of H Shares on the SEHK or any process or matters relating thereto shall be performed solely for the benefit of the Underwriting Parties and the Joint Sponsors and shall not be on behalf of any of the Warrantors.


More Definitions of Global Offering

Global Offering means the equity offering completed by the Company on December 1, 2010 pursuant to which the Company issued 53,660,000 Common Shares at a price of $5.76 per Common Share, for gross proceeds of approximately $309 million;
Global Offering means the initial public offering on the SEHK of 923,299,500 Shares in the capital of the Corporation at HK$4.86 per Share for gross proceeds of approximately $570 million (HK$4,487 million);
Global Offering means the proposed offering of Units to the public in Hong Kong and the proposed offering of Units to certain institutional, professional and other investors (including the preferential offering to certain qualifying holders of the Shares (as defined below) as detailed in the Circular (as defined below) for subscription of reserved Units, amount of which to be determined by the directors of the Company), the principal terms and conditions of which are set out or referred to in the circular to holders of the ordinary shares of the Company (the “Shares”) dated November 23, 2006 (a copy of which has been produced to this meeting marked “A” and initialled by the Chairman of this meeting for identification purpose), as supplemented by the supplemental circular to holders of the Shares dated even date of this notice (a copy of which has been produced to this meeting marked “B” and initialled by the Chairman of this meeting for identification purpose) (collectively, the “Circular”);
Global Offering means the U.S. Offering, the International Offering and the Japanese Offering.
Global Offering means the offering of Shares (subject to adjustment) in the share capital of the Company for subscription by the public in Hong Kong, and the offering of Shares in the capital of the Company (subject to adjustment and the Over-allotment Option (as defined in the Prospectus)) for subscription by institutional and professional investors (other than retail investors) in Hong Kong and outside the United States in offshore transactions as defined in and in accordance with Regulation S (as defined in the Prospectus), and in the United States, pursuant to Rule 144A or another exemption under the United States Securities Act of 1933;
Global Offering or “Offering” means the Mexican Public Offering and the International Offering, together.
