Go-Shop Period definition

Go-Shop Period has the meaning set forth in Section 6.2(a).
Go-Shop Period has the meaning set forth in Section 5.1(a).
Go-Shop Period means the period beginning on February 9, 2020 (the date of the merger agreement) and continuing until 11:59 p.m., New York City time, on March 25, 2020 (the 45th day after the date of the merger agreement).

  • The Company shall immediately cease any discussions with any Person (other than Parent and any Excluded Party) that are ongoing as of the Go-Shop Period End Date and that relate to, or may reasonably be expected to lead to, an Acquisition Proposal, except as otherwise expressly provided in Sections 6.2(b) and 6.2(c).

  • Within forty-eight (48) hours following the Go-Shop Period End Date the Company shall notify Parent of the material terms and conditions of any Acquisition Proposals (including any amendments or modifications thereof) received from any Excluded Party and the identity thereof.

  • Within one (1) Business Day following the Go-Shop Period End Date, CAC shall notify CEC in writing of the material terms and conditions of any CAC Acquisition Proposal (including any amendments or modifications thereof) received from any Excluded Party (as defined below) and the identity thereof.


More Definitions of Go-Shop Period

Go-Shop Period means the period beginning on the date of this Agreement and continuing through January 31, 2020.
Go-Shop Period means the period commencing upon the date is the three (3) months following the date on which the Company Requisite Vote is obtained and ending on the earlier of (A) the Effective Time of the Merger, if the Merger is consummated, or (B) the termination of this Agreement in accordance with its terms.
