Going Public Transaction definition

Going Public Transaction means the occurrence of either:
Going Public Transaction means a transaction whereby the Company becomes a reporting issuer or substantially similar status under the laws of any jurisdiction, including by way of acquisition, merger, or other transaction or series of transactions with a publicly traded company (a “Pubco”), and the date of occurrence thereof shall be deemed the date of the filing of a final prospectus or comparable document for an initial public offering of the shares of the Company or the completion of another transaction whereby securities of the Company are offered to the public.
Going Public Transaction means the consummation of any of the transactions contemplated by clauses (a), (b) or (c) of the definition of Triggering Event.

  • In the event that the Company requires additional working capital prior to the completion of the Going Public Transaction, the Purchaser will arrange for a bridge loan to the Company of US$250,000, which loan shall be repayable from the proceeds of the Special Warrant Financing.

Going Public Transaction means the completion of an initial or secondary public offering of Company Shares by the Existing Shareholders following the issuance of a receipt by the applicable securities regulator for a final prospectus in connection with such public offering; provided, however, that upon completion of the public offering, the shares of the Company (including such Company Shares) are posted for trading on a Recognized Exchange. For greater certainty, a Going Public Transaction for the purposes of this document shall not include a treasury issuance of the Company’s shares;

Going Public Transaction means the occurrence of either of: (i) a final receipt for a prospectus of Surge Canada filed in at least one "jurisdiction" (as listed in Appendix B to Multi-Lateral Instrument 45-102) has been obtained and the common shares of Surge Canada are listed and posted for trading on the Toronto Stock Exchange or the TSX Venture Exchange; or (ii) the sale, exchange, reorganization or arrangement of all the common shares of Surge Canada for, or the sale of all or substantially all of the assets of Surge Canada in a transaction that results in the holders of common shares of Surge Canada receiving for their common shares consideration consisting of: (A) cash; and/or (B) securities which are not subject to resale restrictions (except for those applicable to "control persons") in Alberta and Ontario and are listed and posted for trading on the Toronto Stock Exchange or the TSX Venture Exchange.

Going Public Transaction means (i) the offering and sale to the public of securities of the Company, or a direct listing application of the Company, in connection with which the securities of the Company are listed or quoted on an organized stock exchange or trading market, (ii) a reverse takeover by the Company of any corporation listed on, or that obtains a listing of its principal voting securities on, an organized stock exchange or trading market, (iii) the sale of all or substantially all of the issued and outstanding shares in the capital of the Company for securities that are listed or quoted on an organized stock exchange or trading market, or (iv) the amalgamation, merger, arrangement, reverse takeover or any other corporate transaction involving the Company with or into another entity pursuant to which securities of the resulting issuer from such transaction are listed or quoted on an organized stock exchange or trading market.
Going Public Transaction means the closing of the IPO and the listing of the Purchaser’s Common Shares on one of the following recognized stock exchanges: NASDAQ, CSE, TSX-V and TSX;
