Institution and Investigator represent and warrant that payments or Items of Value received pursuant to this Agreement or in relation to the Study will not influence any decision that Institution, Investigator or any of Institution’s respective directors, employees, agents, consultants, or any payee under this Agreement may make, as a Government Official or otherwise, in order to assist Sponsor or CRO to secure an improper advantage or obtain or retain business.
Supplier has not and will not directly or indirectly offer or pay, or authorize such offer or payment of, any money or anything of value in an effort to influence any Government Official (as defined below) or any other person in order for Amneal to improperly obtain or retain business or to gain an improper business advantage and has not accepted, and will not accept in the future, such a payment.

More Definitions of Government Official

Government Official means (i) any official, officer, employee or representative of, or any Person acting in an official capacity for or on behalf of, any Governmental Authority, (ii) any political party or party official or candidate for political office or (iii) any company, business, enterprise or other entity owned, in whole or in part, or controlled by any Person described in the foregoing clause (i) or (ii) of this definition.

Government Official means any official, officer, employee or representative of: (A) any federal, state, provincial, county or municipal government or any department or agency thereof; (B) any public international organization or any department or agency thereof; or (C) any company or other entity owned or controlled by any government; and (ii) "Other Covered Party" means any political party or party official, or any candidate for political office.

Government Official means (a) any official or employee of any government, or any agency, ministry, department of a government (at any level), person acting in an official capacity for a government regardless of rank or position, official or employee of a company wholly or partially controlled by a government (for example, a state owned oil company), political party and any official of a political party; and (b) any candidate for political office, any officer or employee of a public international organization, such as the United Nations or the World Bank, or any immediate family member (meaning a spouse, dependent child or household member) of any of the foregoing.
