The business of the Company and its Subsidiaries shall not be conducted in violation of any law, ordinance or regulation of any Governmental Entity, except where such violations would not reasonably be expected to result, either individually or in the aggregate, in a Material Adverse Effect.
The Company shall not, except with the prior written consent of Parent, propose, negotiate, commit to, agree to or consent to any divestiture, sale, disposition, hold separate order or other structural or conduct relief, or other operational undertakings, or otherwise to take any action described in the preceding clauses (i) through (iv), in order to obtain the expiration or termination of a waiting period under the HSR Act or clearance from any Governmental Entity under any Foreign Antitrust Law.
There shall not be pending any Action by any Governmental Entity (i) challenging or seeking to restrain or prohibit the consummation of the Transactions, (ii) seeking to obtain material damages in connection with the Transactions, or (iii) that would reasonably be expected to have a High Wire Material Adverse Effect if decided adversely to High Wire.
No Governmental Entity shall have enacted, issued, promulgated, enforced, or entered any Law or Order (whether temporary, preliminary, or permanent) that is in effect and restrains, enjoins, or otherwise prohibits consummation of the Transactions.
Without limiting the foregoing, each party hereto shall promptly provide to the other (or the other’s respective advisors) copies of all correspondence between such party and any Governmental Entity relating to the Transactions.
