There shall be no Governmental Order or Law that is in effect that restrains or prohibits the consummation of the transactions contemplated hereby.
As of the date hereof (a) there are no Actions pending or, threatened in writing against Buyer, Merger Sub or any of their Affiliates that would reasonably be expected, individually or in the aggregate, to have a Buyer Material Adverse Effect and (b) none of Buyer, Merger Sub or any of their Affiliates is subject to any Governmental Order that would reasonably be expected, individually or in the aggregate, to have a Buyer Material Adverse Effect.
As of the date hereof, (a) there are no Actions pending or threatened against Seller or any of its Affiliates or affecting any of their respective assets or properties that would reasonably be expected to result in any Liability for Seller that would, individually or in the aggregate, have a Seller Material Adverse Effect and (b) neither Seller nor any of its Affiliates is subject to any Governmental Order which would have a Seller Material Adverse Effect.
