The Separation Date or, if applicable, the date of termination of Executive’s services under the Consulting Agreement, is hereinafter referred to as the “Option Vesting End Date.” You will have 90 days following the Option Vesting End Date to exercise the vested portion of your Equity Grants in accordance with the terms of the applicable Equity Grant.
If CONTRACTOR is seeking reimbursement for eligible services funded by the Xxxxx- Xxxxx/Medi-Cal, Mental Health Services Act (“MHSA”), SB 90, Federal or State Grants, and/or COUNTY funds provided pursuant to this Agreement, reimbursement for such services shall be based on actual cost of providing those services less any deductible revenues collected by the CONTRACTOR from other payer sources.
Grantee shall submit the reports required by this section to the DLCD Grant Manager and Grants Administrative Specialist in writing by personal delivery, e-mailing, or mailing at the address or number set forth in Attachment B or to such other addresses or numbers as DLCD may specify by notice to Grantee in accordance with Section 8 hereof.
You acknowledge and agree that you have no rights with respect to any equity grants promised to you by the Company prior to the effective date hereof other than any rights with respect to the Equity Grants.
This Agreement shall amend the Equity Grants in accordance with applicable sections of the Company’s 2015 Equity Incentive Award Plan and Company’s 2017 Stock Incentive Plan.
