The Maximum Gross Consideration limit prevents Sponsored Users from trading beyond a financial limit set by the Sponsoring Firm.
The disposition fee shall be paid in an amount equal to (a) 1% of the Market Value determined in connection with a Listing, or 1% of the Gross Consideration received or to be received by the Company or the Stockholders upon the occurrence of any other Liquidity Event (including the Sale or transfer of the Company or a portion thereof), or (b) 1% of the gross sales price upon the Sale or transfer of one or more Assets (including a Sale of all of the Company’s Assets).
For clarity, to the extent that any non-cash consideration in Gross Consideration is monetized after the end of the CVR Term, Parent will include a description of such non-cash consideration in the CVR Payment Statement for the CVR Payment Period in which it is received, and will make the applicable payment to the Rights Agent upon monetization of such non-cash consideration (regardless of whether such monetization occurs after the end of the CVR Term).
Any payments made under this Section 7.2 shall be deemed to be, and each of Buyer and Seller shall treat them, as adjustments to the Gross Consideration for federal, state, local and all other income tax purposes.
All nominal validation limits (Maximum Order Value and Maximum Gross Consideration) are specified in a base currency for the Sponsored User.
