Guarantor Event of Default definition
Guarantor Event of Default means the occurrence of any “Event of Default” under and as defined in the Performance Guaranty.
Guarantor Event of Default has the meaning given to it in Condition 7.02 (Guarantor Events of Default);
Guarantor Event of Default means a default by the Guarantor on any of its payment or other obligations under this Guarantee Agreement; provided, however, that, except with respect to a payment default, the Guarantor shall have received notice of default and shall not have cured such default within 90 days after receipt of such notice.

Except as expressly set forth herein (including the amendments set forth in Section 2 hereof), no other changes or modifications to the Credit Agreement or other Loan Documents are intended or implied to constitute the consent of the Administrative Agent or any Lender to any other transaction or the waiver by the Administrative Agent or any Lender of any Event of Default, Guarantor Event of Default or Default and no novation shall result from this Amendment.
