Guarantor or Guarantors definition

Guarantor or Guarantors means those Persons identified as Guarantors in the preamble to this Agreement, and any other Person required to guarantee the obligations of the Borrower in accordance with Section 5.01(k) of this Agreement.

Guarantor or Guarantors. The term “Guarantor” shall mean each of Xxxxxx Parent and, in respect to the applicable series of Debt Securities designated as guaranteed, as provided in the Certified Resolution under Section 2.02 relating to such series or any supplemental indenture under which such Debt Securities are issued, the Subsidiaries, if any, so designated with respect to such series of Debt Securities as a guarantor for such Debt Securities, and the term “Guarantors” means, in respect to the applicable Debt Securities, all such Persons collectively; and, subject to the provisions of Article Twelve shall mean their respective successors and assigns.

Guarantor or Guarantors means, collectively, National Caucus and Center on Black Aged, Inc., NCBA Housing Development Corporation of the District of Columbia, DMA Development Company and Diana McIver, individually, which Guarantors’ obligations are defined in the Guaranty.

• In connection with the foregoing, the Administrative Agent shall execute and deliver to such Guarantor or Guarantor's designee, at such Guarantor's expense, any documents or instruments which such Guarantor shall reasonably request from time to time to evidence such termination and release.

• In the event of any release of a Guarantor from its obligations hereunder pursuant to Section 9.10 of the Credit Agreement or a termination as described in paragraph 7 hereof, this Guaranty shall, as to such Guarantor or Guarantors, terminate, and have no further force or effect, and the Administrative Agent, at the request and expense of the Company, will promptly execute and deliver to such Guarantor or Guarantors and the Company a proper instrument or instruments acknowledging such release.

• Neither this Guarantee nor any provision hereof may be waived, amended or modified except pursuant to an agreement or agreements in writing entered into by the Agent and the Guarantor or Guarantors with respect to which such waiver, amendment or modification is to apply, subject to any consent required in accordance with Section 9.08 of the Credit Agreement.
