Guarantor’s Officers’ Certificate definition

Guarantor’s Officers’ Certificate means, with respect to any Guarantor, a certificate signed by any two of the following: a Chairman of the Board, a Chief Executive Officer, a President, a Vice President, a Treasurer, an Assistant Treasurer, a Secretary or an Assistant Secretary of such Guarantor, or any other officer or officers of such Guarantor designated in a writing by or pursuant to authority of such Guarantor’s Board of Directors and delivered to the Trustee from time to time.

Guarantor’s Officers’ Certificate means, with respect to any Guarantor, a certificate signed on behalf of such Guarantor by at least two Officers that meets the requirements of Section 102.]

Guarantor’s Officers’ Certificate means a certificate signed by the Chairman of the Guarantor’s Board of Directors, a Vice Chairman, the Chief Executive Officer, the Chief Financial Officer, the Chief Accounting Officer, the Chief Legal Counsel, the Secretary or the Assistant Secretary of the Guarantor, that complies with the requirements of Section 314(e) of the Trust Indenture Act and is delivered to the Trustee.

Examples of Guarantor’s Officers’ Certificate in a sentence

• Each such certificate or opinion shall be given in the form of an Officers’ Certificate, if to be given by an officer of the Company, or a Guarantor’s Officers’ Certificate, if to be given by an officer of any Guarantor, or an Opinion of Counsel, if to be given by counsel, and shall comply with the requirements of the Trust Indenture Act and any other requirements set forth in this Indenture.

• In executing, or accepting the additional trusts created by, any supplemental indenture permitted by this Article or the modifications thereby of the trusts created by this Indenture, the Trustee shall be entitled to receive, and (subject to Section 601) shall be fully protected in relying upon, an Opinion of Counsel and Officers’ Certificate and Guarantor’s Officers’ Certificate, as the case may be, stating that the execution of such supplemental indenture is authorized or permitted by this Indenture.

• If any of the terms of the Guarantees by any Guarantor of the Securities of the series are established by action taken pursuant to a Guarantor’s Board Resolution of such Guarantor, a copy of an appropriate record of such action shall be certified by the Secretary or an Assistant Secretary of such Guarantor and delivered to the Trustee at or prior to the delivery of the Guarantor’s Officers’ Certificate of such Guarantor setting forth the terms of such Guarantees.

• No such consolidation, merger, sale, conveyance, transfer or lease shall be permitted by this Section 10.03 unless prior thereto the Guarantor shall have delivered to the Trustee a Guarantor’s Officers’ Certificate and an Opinion of Counsel, each stating that the Guarantor’s obligations hereunder shall remain in full force and effect thereafter.

• Any certificate or opinion required to be given by an officer pursuant to Section 314(c)(1) may be given in the form of a Guarantor’s Officers’ Certificate.

More Definitions of Guarantor’s Officers’ Certificate

Each such certificate shall comply with the requirements of Section 314(e) of the Trust Indenture Act and include the statements provided for in Section 9.07 hereof.

Guarantor’s Officers’ Certificate means, with respect to any Guarantor, a certificate signed by any two officers of such Guarantor that complies with the requirements of Section 314(e) of the Trust Indenture Act. In the event that any provision of this Indenture shall call for the delivery of an Officers' Certificate and one or more Guarantor's Officers' Certificates or for the delivery of two or more Guarantor's Officers' Certificates in connection with any matter, then it is not necessary that the Company and all such Guarantors, as the case may be, deliver separate certificates but, instead, such certificates may be combined into a single document.
