Health Care Permit definition

Health Care Permit means any license, certification, registration, permit, approval, accreditation or authorization, including but not limited to, any state medical license, Drug Enforcement Agency registration, state controlled substance certificate, Clinical Laboratory Improvements of 1988 identification number, pharmacy permit or business license that is required pursuant to any Requirement of Law to provide medical care or other professional health care services or to own, operate or manage an Affiliated Provider practice.

Health Care Permit means every accreditation, authorization, certificate of need, license or permit that is required pursuant to applicable federal or state law to own, lease, operate or manage a Health Care Facility or conduct the business of a Health Care Company.

• No condition exists or event has occurred which, in itself or with the giving of notice or lapse of time or both, has resulted or would result in the suspension, revocation, termination, restriction, limitation, modification or non-renewal of any Health Care Permit that could reasonably be expected to have, in the aggregate, a Material Adverse Effect.

• All such Health Care Permits are, and at all times during the four calendar years immediately preceding the Closing Date have been, in full force and effect and there is and has been no material default under, violation of, or other noncompliance with the terms and conditions of any such Health Care Permit.

• There currently exist no restrictions, deficiencies, required plans of correction or other such remedial measures with respect to any Health Care Permit of the Borrower or any of its Subsidiaries, or the participation by the Borrower or any of its Subsidiaries in any Third Party Payor Program, in each case, that could reasonably be expected to have, in the aggregate, a Material Adverse Effect.

• Other than as set forth on Schedule 4.19, no Governmental Authority has taken, or to the knowledge of the Borrower or any of its Subsidiaries intends to take, action to suspend, revoke, terminate, place on probation, restrict, limit, modify or not renew any Health Care Permit of the Borrower or any of its Subsidiaries.

Health Care Permit means all necessary approvals, clearances, permits, licenses, registrations, listings or authorizations of any Governmental Authority, necessary for the research, development, investigation, testing, production, manufacture, disposal, processing, prescription, dispensing, reimbursement, handling, packaging, labeling, promotion, distribution, advertising, use, storage, import, export, transport, marketing, promotion, offer for sale, sale, introduction into interstate commerce, and delivery for introduction into interstate commerce of any product in a given country or regulatory jurisdiction.

Health Care Permit. , without more, means either a hard copy health care permit or an electronic health care permit;

"Interest Payment Date" means the first (1st) day of each calendar month while any portion of the Loan remains unpaid; provided, however, that if such Interest Payment Date is not a Business Day, such Interest Payment Date shall be the immediately succeeding Business Day. "Interest Period" means (a) the period beginning on (and including) the Closing Date and ending on (but excluding) the first Interest Payment Date and (b) each successive period beginning on (and including) an Interest Payment Date and ending on (but excluding) the next succeeding Interest Payment Date. "Interest Reset Date" means, with respect to any Eurodollar Rate Loan, the first day of the applicable Interest Period. "Internal Revenue Code" means the Internal Revenue Code of 1986, as amended from time to time, and the regulations promulgated and rulings issued thereunder. 9
