Hired Active Employee definition

Hired Active Employee has the meaning set forth in Section 6.16(b).
Hired Active Employee has the meaning given such term in Section 10.3(a)(i).

Examples of Hired Active Employee in a sentence

  • Buyer shall continue employment of each of the Hired Active Employees pursuant to Article 2097 of the Civil Code of Quebec and so notify each of them individually within three (3) Business Days following the Closing Date on at least equivalent salary, benefits and other conditions for each such Hired Active Employee.

  • Following such ninety (90) day period, each Hired Active Employee shall be employed at will by Buyer as employees of Buyer (subject to any applicable probation period not prohibited by law) to occupy positions designated by Buyer and pursuant to the terms and conditions determined by Buyer in its sole discretion.

  • Any Proceeding against any of the Buyer Indemnified Parties by or on behalf of any employee of Seller who is not hired by Buyer or by or on behalf of any Hired Active Employee that relates to matters or events that occurred prior to the Closing.

  • Nothing in this Agreement shall be deemed to prevent or restrict in any way the right of a Buyer to terminate, reassign, promote or demote any of the Hired Active Employees after the Closing or to change adversely or favorably the title, powers, duties, responsibilities, functions, locations, salaries, other compensation or terms or conditions of employment of any such Hired Active Employee.

  • The Purchaser shall use commercially reasonable efforts to not treat any Hired Active Employee as "new" employee for purposes of any exclusion under any health plan or dental plan of the Purchaser or any of its Affiliates for a pre-existing medical condition and shall attempt to make appropriate arrangements with its insurance carrier(s) to achieve such result.

  • Nothing in this Agreement shall limit the right of Buyer to terminate the employment of any Hired Active Employee following the Closing Date.

  • In addition, following the Closing New REIT or, if applicable, its designee shall provide each Hired Active Employee with credit for any accrued but unused vacation days that such employee had accrued with RLJ Development as of the Closing.

  • Buyer shall provide to each such Hired Active Employee the same vacation and sick pay accruals as such Hired Active Employee had when employed by Seller and Buyer shall assume and pay such vacation and sick pay accruals in the ordinary course of business and upon termination of the employment of any such Hired Active Employee.

  • Buyer shall provide each Hired Active Employee with credit for such Hired Active Employee’s period of service with the Sellers towards the calculation of eligibility and vesting for such purposes as vacation, severance, medical, dental or other welfare plans and other benefits, and participation and vesting in Buyer’s qualified profit-sharing and 401(k) plans, as such plans may exist.

  • Seller shall retain all Liability for any pension, medical, life insurance or other benefits with respect to any retiree, former employee or other employee who is not a Hired Active Employee.

Related to Hired Active Employee

  • Active Employee means a contributing member of the TRS who is employed by a public school and is not entitled to coverage under a plan provided under Insurance Code Chapter 1551 (Texas Em- ployees Group Benefits Act) or 1601 (State University Employees Uniform Insurance Benefits Act).

  • Inactive Employee means an employee who is not actively at work due to approved leave of absence, short-term disability leave or military leave.

  • Active Employment means you must be actively at work for the Sponsor:

  • Excluded Employee means an employee as defined in section 3527, subd. (b) of the Government Code (Ralph C. Dills Act) except those excluded employees who are designated managerial pursuant to section 18801.1 of the Government Code.

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Prospective employee means any individual who has committed to become an employee of the Company within sixty (60) days from the date an Award is granted to such individual.

  • Executive Employee means those employees of the Company of Grade Level 10 or above.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Covered Active Duty means (1) in the case of a member of a regular component of the Armed Forces, duty during the deployment of the member with the Armed Forces to a foreign country; and (2) in the case of a member of a reserve component of the Armed Forces, duty during the deployment of the member with the Armed Forces to a foreign country under a call or order to active duty (or notification of an impending call or order to active duty) in support of a contingency operation as defined by applicable law.

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • Hired Employee has the meaning set forth in Section 6.1.6.

  • Designated Employee means an employee who has been designated by the school to receive complaints of hazing, harassment and bullying pursuant to subdivision 16 V.S.A. 570a(a)(7). The designated employees for each school building are identified in Appendix A of this policy.

  • Male employee means an employed male who is caring for a child borne of his spouse or a child placed with the employee for adoption purposes.

  • Part-time employee means an employee who is normally required to work less than the basic hours of work.

  • Administrative employee means an employee who normally supervises persons engaged in office administration, construction, security or maintenance work who are represented by another trade union. This definition includes employees who share a community of interest with “supervisors”.

  • Service employee, means any person engaged in the performance of this contract other than any person employed in a bona fide executive, administrative, or professional capacity, as these terms are defined in Part 541 of Title 29, Code of Federal Regulations, as revised. It includes all such persons regardless of any contractual relationship that may be alleged to exist between a Contractor or subcontractor and such persons.

  • Qualifying Employee means any employee of Managing Agent or Parent or any of their respective subsidiaries who is and has been an employee of Managing Agent or Parent or any of their respective subsidiaries for at least thirty-six (36) months.

  • U.S. Employee means a person who is an employee of the Company (or of any Subsidiary) for purposes of section 422 of the Code.

  • Excluded Employees has the meaning set forth in Section 14.1.

  • Tipped employee means any employee engaged in an occupation in which s/he customarily and regularly receives more than $30 per month in tips. Tips include amounts designated as a tip by credit card customers on their charge slips. Nothing in this rule prevents an employer from requiring employees to share or allocate such tips or gratuities on a pre-established basis among other employees who customarily and regularly receive tips. Employer-required sharing of tips with employees who do not customarily and regularly receive tips, such as management or food preparers, or deduction of credit card processing fees from tipped employees, shall nullify allowable tip credits towards the minimum wage.

  • Competitive employment means work in the competitive labor market that is performed on a full-time or part-time basis in an integrated setting and for which the client is compensated at or above the minimum wage, but not less than the customary wage and level of benefits paid by the employer for the same or similar work performed by individuals who are not disabled.

  • Affected employee means an employee who would be affected by the grant or denial of a variance, or any one of the employee’s authorized representatives, such as the collective bargaining agent.

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Current Employee has the meaning set forth in Section 7.8(a).

  • Ongoing employee means an employee who has been employed for at least one complete standard measurement period.
