Holder Information definition

Holder Information shall have the meaning given in Section 4.1.2.

Holder Information has the meaning set forth in Section 3.10(b).

Holder Information with respect to any Holder means information with respect to such Holder required to be included in any Shelf Registration Statement or the related Prospectus pursuant to the Securities Act and which information is included therein in reliance upon and in conformity with information furnished to the Company in writing by such Holder for inclusion therein.

• Notwithstanding anything in this Agreement to the contrary, if any Holder does not provide the Company with its requested Holder Information, the Company may exclude such Holder’s Registrable Securities from the applicable Registration Statement or Prospectus if the Company determines, based on the advice of counsel, that such information is necessary to effect the registration and such Holder continues thereafter to withhold such information.

• Notwithstanding anything in this Agreement to the contrary, if any Holder does not provide the Company with its requested Holder Information, the Company may exclude such Holder’s Registrable Securities from the applicable Registration Statement or Prospectus if the Company determines, based on the advice of counsel, that it is necessary or advisable to include such information in the applicable Registration Statement or Prospectus and such Holder continues thereafter to withhold such information.

• Relative fault shall be determined by reference to, among other things, whether any untrue or any alleged untrue statement of a material fact or the omission or alleged omission to state a material fact relates to information provided by the Company on the one hand or relates to Holder Information supplied by such Holder, on the other, the intent of the parties and their relative knowledge, information and opportunity to correct or prevent such untrue statement or omission.

• An addendum, if issued, will be posted on the County’s website (Jeffcomo.org in same location as these specifications), and will be emailed to the provided contact on the “Plan Holder Information Request” form.

• Notwithstanding anything in this Agreement to the contrary, if any Holder does not timely provide the Company with its requested Holder Information, the Company may exclude such Holder’s Registrable Securities from the applicable Registration Statement or Prospectus if the Company determines, based on the advice of counsel, that such information is necessary to effect the registration and such Holder continues thereafter to withhold such information.

Holder Information shall have the meaning set forth in Section 8(a) of this Agreement.

Holder Information means, with respect to a Selling Holder, (i) such information regarding such Selling Holder as is required by Section 507 of Regulation S-K promulgated by the Commission under the Securities Act, (ii) information as to whether (and if so, in what manner) the intended method of disposition of such Holder's Registrable Shares differs from the Plan of Distribution, and (iii) any such additional information as may be required to be included in the Registration Statement by a Selling Holder; in each case as shall be required to effect the registration of such Registrable Shares pursuant to the Registration Statement, the disclosures required in the Prospectus with respect thereto and the offer and Transfer of such Registrable Shares pursuant to the Prospectus.

Holder Information means such information and affidavits as the Company reasonably requests for use in connection with any Registration.
