Holder Pro Rata Amount definition

Holder Pro Rata Amount means a fraction (i) the numerator of which is the original Principal amount of this Note on the Closing Date and (ii) the denominator of which is the aggregate original principal amount of all Notes issued to the initial purchasers pursuant to the Securities Purchase Agreement on the Closing Date.
Holder Pro Rata Amount means, with respect to any Holder, a fraction (i) the numerator of which is the number of Preferred Shares issued to such Holder pursuant to the Securities Purchase Agreement on the Initial Issuance Date and (ii) the denominator of which is the number of Preferred Shares issued to all Holders pursuant to the Securities Purchase Agreement on the Initial Issuance Date.

  • The portion of this Bridge Note subject to redemption pursuant to this Section 6 shall be redeemed by the Company in an amount equal to the Holder Pro Rata Amount of the Mandatory Redemption Amount (the “Mandatory Redemption Price”).
