HSR Approval definition
HSR Approval means expiration of all applicable waiting periods under the HSR Act (including any voluntary agreed extensions) or earlier termination thereof.
HSR Approval means the filing of a Notification and Report Form with the United States Federal Trade Commission and the United States Department of Justice under the HSR Act and the expiration or termination of any applicable waiting period thereunder, if required.
HSR Approval means the waiting period applicable to the consummation of the transactions under the HSR Act shall have expired or been terminated, and no Governmental Entity shall have applied or threatened to apply for an injunction or other order under the antitrust laws of the Territory or any state thereof.

As of the date of this Agreement, no fact or circumstance exists, including any ongoing intellectual property litigation involving Buyer or its Affiliates, or any current holding or transaction under consideration by Buyer or Merger Sub or any of their Affiliates, that would reasonably be expected to prevent or materially delay satisfaction of the HSR Approval or any other approval required under a non-U.S. Antitrust Law for the consummation of the Transactions.
Purchaser shall be responsible for all filing fees under applicable Laws (including with respect to the HSR Approval and the Other Required Approvals).
More Definitions of HSR Approval
HSR Approval has the meaning set forth in Section 7.1(b).
HSR Approval means all applicable filings pursuant to the HSR Act shall have been made and all applicable waiting periods shall have expired or been terminated.
