Immediately following the actions contemplated by paragraph 1.1, the Acquired Entity shall take such actions necessary to complete the liquidation of the Acquired Fund. To complete the liquidation, the Acquired Entity, on behalf of the Acquired Fund, shall (a) distribute to the latters shareholders of record with respect to each class of Acquired Fund Shares as of the Closing Date (Acquired Fund Shareholders), on a pro rata basis within that class, the Acquiring Fund Shares of the corresponding class received by the Acquired Entity, on behalf of the Acquired Fund, pursuant to paragraph 1.1 and (b) completely liquidate and dissolve in accordance with Massachusetts law.
