If, prior to the Scheduled Vesting Date and while you are In Good Standing, (i) the Board fails to nominate you for reelection to the Board at the 2026 Annual Meeting of Shareholders (the “2026 Meeting”) or (ii) the shareholders of the Company fail to reelect you to the Board at the 2026 Meeting, then, to the extent the RSUs are still outstanding and unvested, you shall immediately become vested in the RSUs as of the date of the 2026 Meeting.
If, prior to the Scheduled Vesting Date, you die while In Good Standing, then, to the extent the RSUs are still outstanding and unvested, your estate, beneficiary or any person who acquires the RSUs by inheritance or devise, as applicable, shall immediately become vested in the RSUs on your date of death.
If you die while In Good Standing, then any portion of the Option that remains outstanding and that has not vested shall immediately become vested in full as of your date of death and your estate, beneficiary or any person who acquires the Option by inheritance or devise, as applicable, shall have the right to exercise any vested and unexercised portion of the Option until the Expiration Date.
