Examples of Inactive Employee in a sentence
Purchaser shall cause one of its Subsidiaries to offer employment to an Inactive Employee to the extent such employee is able to commence and presents himself for active employment within a ninety (90) day period immediately following the Closing Date.
Prior to the Closing, Seller shall transfer, or cause to be transferred, to an Acquired Company, the employment of each Internal Transfer Employee other than an Inactive Employee.
To the extent an Inactive Employee commences active employment with Purchaser or a Subsidiary of Purchaser after the Closing Date pursuant to the second sentence of this Section 9.1, he or she will be considered a Transferred Employee for applicable purposes of this Agreement as of such date.
Notwithstanding the foregoing, to the extent permitted by applicable Law, if an applicable work permit for an Offer Employee is not in place with Purchaser or its affiliate as of the Closing, such Offer Employee shall be treated as an Inactive Employee hereunder in accordance with Section 5.6(n).
For any Inactive Employee who is to become a Transitioned Employee, Service Provider shall make arrangements for such Inactive Employee’s return to work in accordance with the provisions of any applicable Laws and current Client leave policies as disclosed to Service Provider, including for maternity leave and disability leave.
