Incentive Awards definition

Incentive Awards means: any monetary amounts awarded by the Court in recognition of the assistance of any Plaintiff(s) and/or Named Plaintiff in the prosecution of the Action and payable pursuant to § 7.1.5, below.
Incentive Awards means the Equity Securities that may be granted under the Equity Incentive Plans from time to time; as of the date of this Agreement, Incentive Awards include Unvested RSUs, Restricted ADSs and Options of the Company and Subsidiary RSUs and Subsidiary Options of Actions Zhuhai.
Incentive Awards means the service awards, if any, awarded by the Court to Plaintiffs following the petition for such awards by Plaintiffs as described in Section 2.6.

  • Further, Executive’s eligibility to receive Incentive Awards may be affected in the event Inspire has determined that such Incentive Awards would be in violation of law or reasonably create an adverse effect on Inspire or its obligations or agreements including, without limitation, leaving Inspire with insufficient liquidity (including adequate reserves) to carry on its business and pay its debt in the ordinary course.

  • Xxxxxxx may apply to the Court for Incentive Awards in an amount not to exceed $2,500 each, for their participation as Class Representatives.

More Definitions of Incentive Awards

Incentive Awards means the Court-approved awards to Plaintiffs in recognition of their time and effort in pursuing the Consolidated Action, fulfilling their obligations and responsibilities as class representatives, and agreeing to the Additional Releases.
Incentive Awards means the payments awarded by the Court to the Representative Plaintiffs, as set forth in Paragraphs 5.2 and 5.3.
Incentive Awards means, collectively, the outstanding Company Options, Equity Incentive Awards, Legacy Options, and Legacy RSUs granted under the Company Option Plan, the Equity Incentive Award Plan, the Legacy Share Option Plan and the Legacy RSU Plan, respectively.

Incentive Awards means awards under a Company incentive plan with payment amounts determined by annual incentive compensation metrics and goals as approved by the Compensation Committee of the Board of Directors and the amounts of which are determined in whole or in part upon specific performance targets relating to the financial results of the Company; and (ii) the term executive officer means the CEO and his direct and indirect reports at the level of EVP and above, who are eligible to participate in the _____ LTI Program/_____ LTI Goals (see Exhibit A attached).
Incentive Awards means any awards by the Court to Representative Plaintiffs as described in Section 5.
Incentive Awards means the awards to the Class Representatives, not to exceed $50,000.00 in the aggregate, to compensate them for their time, effort, and diligence in prosecuting the Action.
