Included Product definition

Included Product means any pharmaceutical or biological composition containing the Compound, including the product currently trademarked in the United States as AndexXa™. For clarity, references in this Agreement to “an” Included Product or to “the” Included Product refer to any Included Product.

Included Product means, as of the Funding Date, Optune, NovoTAL and the Novo TTF-100L System, and, thereafter, any future product, including any current Preclinical Products (a) commercialized by Borrower or its Subsidiaries which are owned or controlled by Borrower or its Subsidiaries or (b) out-licensed by Borrower or its Subsidiaries.

Included Product means (a) any BA Product and (c) any Follow-On/Cannibalizing Product.

Examples of Included Product in a sentence

• Xxxx shall retain title through the Included Product Pipelines and in the Included Third Party Storage Tanks.

• Without limiting the foregoing, the Purchaser Agent and each Purchasers acknowledges and agrees that the Purchaser Agent, each Purchaser and their respective Affiliates, together with their representatives, have made their own investigation of each Included Product and are not relying on any implied warranties or upon any representation or warranty whatsoever as to the future amount or potential amount of the Revenue Interests or as to the creditworthiness of the Company.

• Neither Borrower nor any Subsidiary has received written notification from any Governmental Authority that an Included Product fails to comply with applicable Law, which failure would reasonably be expected to result in sanctions or adversely affect the Permits of the Borrower and its Subsidiaries’ facilities, except where such sanctions or adverse effect on the Permits have not had, and could not reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect.

• No clinical trial of any Included Product has been suspended, put on hold or terminated prior to completion as a result of any action by any Governmental Authority or voluntarily.

• In the event that any Contract Party offsets all or any part of the Included Product Payments against any amounts owed by Dyax to such Contract Party and such offset actually reduces the amount of any payment on the Royalty Interests (any such reduction, a “Payment Shortfall”), Dyax will pay the Buyer the amount of the Payment Shortfall within three (3) Business Days.

Included Product means Tebi and each Back-up Product. For clarity, references in this Agreement to “an” Included Product or to “the” Included Product(s) refer to any Included Product(s).

Included Product means (a) any Initial Product and (b) any Follow-On/Cannibalizing Product.

Included Product means all assets of any type other than the Excluded Product, including but not limited to any assets sourced through or in connection with Calibat.

Included Product means Yutrepia, the Sandoz Product and any other product or service developed, imported, manufactured, marketed, offered for sale, promoted, sold, tested or otherwise distributed by any member of the Company Group. For clarity, references in this Agreement to “an” Included Product or to “the” Included Product(s) refer to any Included Product(s).

Included Product means, as of the Tranche A Closing Date, Optune, NovoTAL and the Novo TTF-100L System, and, thereafter, any future product, including any current Preclinical Products (a) commercialized by Borrower or its Subsidiaries which are owned or controlled by Borrower or its Subsidiaries or (b) out-licensed by Borrower or its Subsidiaries.

Included Product means (a) Anktiva, (b) all other compounds, chemical entities, biologic or pharmaceutical products being designed, Developed, owned, licensed, acquired, Manufactured or Commercialized by the Company or any of its Subsidiaries from time to time, or (c) any derivative, improvement, enhancement, modification, combination or subsequent iteration of any of the foregoing described in clause (a) or (b).

Included Product has the meaning specified in Section 7.3(d).
