Incumbent Members definition

Incumbent Members means the members of the Board on the date immediately preceding the commencement of such twenty-four month period, provided that any person becoming a director during such twenty-four month period whose election or nomination for election was approved by a majority of the directors who, on the date of such election or nomination for election, comprised the Incumbent Members shall be considered one of the Incumbent Members in respect of such twenty-four month period;

More Definitions of Incumbent Members

Incumbent Members means the individuals who, as of the Grant Date, constitute the Board, provided, however, that any individual who becomes a member of the Board subsequent to the Grant Date whose election or nomination for election by the stockholders of the Company was endorsed by a vote of at least a majority of the then Incumbent Members (excluding any such individual whose initial assumption of office occurs as a result of either an actual or threatened election contest (as such terms are used in Rule 14a-11 under the Exchange Act) or other actual or threatened solicitation of proxies or consents by or on behalf of any person other than the Board) shall be considered as though such individual were an Incumbent Member.
Incumbent Members with respect to any period, shall mean the members of the Board on the date immediately preceding the commencement of such period; provided, however, that any person becoming a member of the Board during such period whose election or nomination for election was supported by a majority of the Board members who, on the date of such election or nomination for election, comprised the Incumbent Members shall be considered one of the Incumbent Members with respect to such period.

Incumbent Members in respect of any twelve-month period, shall mean the members of the Board on the date immediately preceding the commencement of such twelve-month period, provided that any person becoming a Director during such twelve-month period whose election or nomination for election was supported by a majority of the Directors who, on the date of such election or nomination for election, comprised the Incumbent Members shall be considered one of the Incumbent Members in respect to such twelve-month period; or (c) the shareholders of the Company approve an agreement to merge or consolidate with or into another corporation or an agreement to sell or otherwise dispose of all or substantially all of the Company's assets (including a plan of liquidation).
