Indemnification by the Investors Clause Samples
The "Indemnification by the Investors" clause requires investors to compensate or protect the company and its representatives from losses, damages, or liabilities that arise due to the investors' actions or breaches of the agreement. Typically, this clause applies if an investor provides false information, violates representations or warranties, or otherwise causes harm to the company through their conduct. Its core function is to allocate risk by ensuring that the company is not financially responsible for issues caused by the investors, thereby promoting fairness and accountability in the investment relationship.
