Notwithstanding the foregoing, the provisions of Clauses 9, 13, 15, 21, 23 and 24 are intended to be enforceable by an Indemnified Group Member, provided that the Contract may be rescinded or varied by the parties without notice to or the consent of any Indemnified Group Member even if, as a result, any Indemnified Group Member’s right to enforce a term or condition of the Contract may be varied or extinguished.
No member of the Indemnified Group shall voluntarily make any payment or incur any expense in connection with any such Claim or suit without the prior written consent of the indemnifying party.
All news releases, publicity or advertising through any media intended to reach the general public (collectively, “Public Releases”) issued by Borrower or its Affiliates that refer to the Loan Documents, the Loan, Lender or any member of the Indemnified Group, a Loan purchaser, the Servicer or the trustee in a Securitization shall be subject to the prior written approval of Lender.
Except as expressly provided herein, no Party or its Affiliates, or other members of its Indemnified Group, shall be liable hereunder at any time for consequential, exemplary, indirect, special or punitive loss of the other Party or any of the members of their respective Indemnified Groups, whether in contract, tort (including negligence), strict liability or otherwise.
Neither Party shall be obligated to indemnify the other Party or any member of such Party’s Indemnified Group or be liable to the other Party or any member of such Party’s Indemnified Group unless a written claim for indemnity is delivered to the other Party within ninety (90) days after the date that a claim is reported or discovered, whichever is earlier.
