Indemnity Holdback Shares definition

Indemnity Holdback Shares means the number of shares of Parent Stock determined by dividing (x) twenty percent (20%) of the Indemnity Holdback Amount by (y) the Closing VWAP.

Indemnity Holdback Shares means the shares of Parent Common Stock set forth on Schedule A and deposited with the Escrow Agent pursuant to Section 3.

More Definitions of Indemnity Holdback Shares

Indemnity Holdback Shares means a number of shares (rounded down to the nearest whole share) of Parent Common Stock equal to the quotient of (a) the Indemnity Holdback Amount divided by (b) the Per Parent Share Price.
