Independent Certificate definition

Independent Certificate means a certificate or opinion to be delivered to the Indenture Trustee under the circumstances described in, and otherwise complying with, the applicable requirements of Section 11.1 of the Indenture, made by an independent appraiser or other expert appointed by an Issuer Order, and such opinion or certificate shall state that the signer has read the definition of “Independent” in this Appendix A and that the signer is Independent within the meaning thereof.

Independent Certificate means a certificate or opinion to be delivered to the Indenture Trustee under the circumstances described in, and otherwise complying with, the applicable requirements of Section 11.1 of the Indenture, made by an Independent appraiser or other expert appointed by an Issuing Entity Order in the exercise of reasonable care and approved by the Indenture Trustee, and such opinion or certificate shall State that the signer has read the definition of “Independent” in the Indenture and that the signer is Independent within the meaning thereof.

Independent Certificate means a certificate or opinion to be delivered to the Trust Collateral Agent under the circumstances described in, and otherwise complying with, the applicable requirements of Section 11.1, prepared by an Independent appraiser or other expert appointed by an Issuer Order and approved by the Trust Collateral Agent in the exercise of reasonable care, and such opinion or certificate shall state that the signer has read the definition of “Independent” in this Indenture and that the signer is Independent within the meaning thereof.

Examples of Independent Certificate in a sentence

• To obtain this certificate, the applicant must hold the required Independent Certificate Area.

• In determining whether to maintain possession of the Collateral, the Indenture Trustee may, but need not, obtain at the expense of the Servicer and rely upon an opinion of an Independent investment bank or Independent Certificate of an accounting firm of national reputation as to the feasibility of such proposed action and as to the sufficiency of the Collateral for such purpose.

• Career Pathways Certificates are a collection of 12 to 44 credits that are wholly contained in an approved Associate of Applied Science (AAS) degree option, or an Independent Certificate of Completion (with at least 45 credits).

More Definitions of Independent Certificate

Independent Certificate means a certificate of an Independent Person, as required by the TIA.

Independent Certificate means a certificate or opinion to be delivered to the Note Trustee under the circumstances described in, and otherwise complying with, the applicable requirements of Clause 12(w) hereof, made by an independent appraiser or other expert appointed by an Issuer Order and approved by the Note Trustee in the exercise of reasonable care, and such opinion or certificate shall state that the signer has read the definition of "Independent" in this Trust Deed and that the signer is Independent within the meaning thereof;

Independent Certificate means a certificate or opinion to be delivered to the Indenture Collateral Agent under the circumstances described in, and otherwise complying with, the applicable requirements of Section 11.1, prepared by an Independent appraiser or other expert appointed by an Issuer Order and approved by the Indenture Collateral Agent in the exercise of reasonable care, and such opinion or certificate shall state that the signer has read the definition of "Independent" in this Indenture and that the signer is Independent within the meaning thereof.

Independent Certificate. With respect to (a) the ACOLT Indenture, a certificate or opinion to be delivered to the ACOLT Indenture Trustee under the circumstances described in, and otherwise complying with, the applicable requirements of Section 11.1 of the ACOLT Indenture, made by an Independent appraiser or other expert appointed by an ACOLT Order and approved by the ACOLT Indenture Trustee in the exercise of reasonable care, and such opinion or certificate shall state that the signer has read the definition of “Independent” and that the signer is Independent within the meaning thereof; and (b) the AART Indenture, a certificate or opinion to be delivered to the AART Indenture Trustee under the circumstances described in, and otherwise complying with, the applicable requirements of Section 11.1 of the AART Indenture, made by an Independent appraiser or other expert appointed by an Issuing Entity Order and approved by the AART Indenture Trustee in the exercise of reasonable care, and stating that the signer has read the definition of “Independent” in the AART Indenture and that the signer is Independent within the meaning thereof.

Independent Certificate means a certificate or opinion to be delivered to the Indenture Trustee or Servicer, as applicable, and upon which each may conclusively rely under the circumstances described in, and otherwise complying with the applicable requirements of, Section 15.01 made by an Independent certified public accountant or other expert appointed by an Issuer Order, and such opinion or certificate shall state that the signer has read the definition of “Independent” in this Indenture and that the signer is Independent within the meaning thereof.
