Independent Dealer definition
Independent Dealer means a leading dealer in the relevant market that is not an Affiliate of either of the parties or any other appointed Independent Dealer.
Independent Dealer means any of the following (as such list may be revised from time to time by mutual agreement of the Company and the Administrative Agent): Bank of America/▇▇▇▇▇▇▇ ▇▇▇▇▇, Barclays Bank, BNP Paribas, Citibank, Credit Suisse, Deutsche Bank, ▇▇▇▇▇▇▇ ▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇▇▇▇, UBS, ▇▇▇▇▇ Fargo and any Affiliate of any of the foregoing, but in no event including the Company or any Affiliate of the Company.
Independent Dealer means a leading dealer in the relevant physical trading markets for the Affected Transactions that is not a Party or an Affiliate of a Party.
Examples of Independent Dealer in a sentence
In any such instance, the parties shall, within three Reference Days after such notice, jointly select three Independent Dealers (or, if the parties cannot jointly agree on three, each party shall select an Independent Dealer, which two Independent Dealers shall jointly select a third Independent Dealer).
Each such Independent Dealer shall be requested by the Calculation Agent to make a Determination as to the disputed matter within three Reference Days after its appointment.
If either Party is unable to find an Independent Dealer willing to make a determination of the Termination Value for purposes of dispute resolution after approaching at least two Independent Dealers, then the originally determined Settlement Amount shall be deemed final and binding.
Copies of all information submitted by a Party to any Independent Dealer shall be provided to the other Party.
Upon the successful appointment of an Independent Dealer, each of the Parties may submit written support for the Transaction Value determined by such Party to the Independent Dealer.

For each Disputed Asset, the agent of such Asset shall also be considered an Independent Dealer with respect to such Asset.
