To the fullest extent permitted by law, including Section 18-1101(c) of the LLC Act, and notwithstanding any duty otherwise existing at law or in equity, the Independent Manager(s) shall consider only the interests of the Company, including its creditors, in acting or otherwise voting on the matters referred to in Section 1.09.
The salaries of all Officers and agents of the Company shall be fixed by or in the manner prescribed by the Board of Managers (other than the Independent Managers).
The additional or successor Officers of the Company shall be chosen by the Board (other than the Independent Managers) and may consist of a President, a Secretary, a Treasurer a Chief Financial Officer and a Chief Executive Officer.
The Board of Managers (other than the Independent Managers) may appoint such other Officers and agents as it shall deem necessary or advisable, who shall hold their offices for such terms and shall exercise such powers and perform such duties as shall be determined from time to time by the Board of Managers (other than the Independent Managers).
The initial number of Managers shall be five (5), two (2) of which shall be Independent Managers pursuant to Section 10.
