Information and Records definition

Information and Records shall have the meaning set forth in Section 2.1(e).
Information and Records of any Person means all books and records (other than minute books and corporate records, but including accounting and other financial books and records), files, databases, plans, specifications, technical information, Confidential Information, price lists, promotional materials, advertising copy and data, marketing research and information, competitive analyses, customer impact analyses, sales records, service records, Tax records, customer lists and files (including customer credit, collection, deposit and complaint information), customer profiles and other customer information, vendor lists and files, and all other proprietary information of such Person.
Information and Records means, with respect to each Customer, all books, records, files, databases, plans, specifications, technical information, customer lists, supplier lists, price lists and sales records that are owned by Seller with respect to (a) the Customer Contract that is transferred by Seller to Purchaser and the Other Assets transferred therewith, hereunder, (b) such Customer and (c) which are generally described on Schedule 2.1(a)(iii), in the form maintained by Seller; provided, that Seller shall be entitled to retain copies of the Information and Records.

Examples of Information and Records in a sentence

  • Section 10 will continue to apply to retained Confidential Information and Records, which may only be used for such purposes.

  • Section 11 will continue to apply to retained Confidential Information and Records, which may only be used for such purposes.

  • The Service Provider agrees that, in relation to the collection, use, disclosure, storage, security and destruction of Personal Information and Records, it is subject to and will comply with the requirements of FIPPA and this Schedule, including any applicable order or security requirements prescribed by the Commissioner or a court and any written direction issued by HO under this Schedule.

More Definitions of Information and Records

Information and Records shall not include (A) any information or records which constitute "Technology", (B) any Proceeding files other than files related to the Assumed Proceedings and (C) the portion of any information or records related to an Excluded Asset or Retained Obligation and (ii) if any particular record of the Seller contains both information to be transferred to the Purchaser pursuant to this Section 2.1(d) and other information, then the Seller can, at its option, either (A) provide a copy of such record to the Purchaser subject to the Purchaser's obligations contained herein to keep such other information confidential or (B) create a new record that separates out the information to be transferred to the Purchaser pursuant to this Section 2.1(d) and provide a copy of such new record to the Purchaser;

For clarification, the term “Information and Records” excludes all right, title, and interest in and to the name “AquaSoft” and all associated logos, trademarks, service marks, graphics, trade dress, and related materials.
