Initial 2023 Notes definition

Initial 2023 Notes means the US$ 34,340,000 aggregate principal amount of 2023 Notes issued by the Issuer on the Initial Issue Date.

Initial 2023 Notes has the meaning set forth in the recitals hereto.

Initial 2023 Notes means $700.0 million aggregate principal amount of the Corporation’s 0.650% Senior Notes due 2023 issued under this Supplemental Indenture and the Indenture on the date hereof substantially in the form set forth in Exhibit A hereto.

Examples of Initial 2023 Notes in a sentence

• Any Additional 2023 Notes and the Initial 2023 Notes shall constitute a single series under the Indenture, provided that if such Additional 2023 Notes are not fungible with the Initial 2023 Notes for U.S. federal income tax purposes, such Additional 2023 Notes shall not have the same CUSIP, ISIN or other identifying number as the Initial 2023 Notes.

• The Company will be entitled, upon delivery of an Officer’s Certificate and an Opinion of Counsel, to issue Additional 2023 Notes under this Supplemental Indenture which will have identical terms as the Initial 2023 Notes issued on the date hereof, other than with respect to the date of issuance and issue price.

• The Initial 2023 Notes will be dated May 14, 2020 and the 2023 Notes will become due and payable, together with all accrued and unpaid interest thereon, on May 14, 2023 (the “2023 Note Maturity Date”).

• The Initial 2023 Notes issued on the date hereof and any Additional 2023 Notes issued will be treated as a single class for all purposes under this Supplemental Indenture.

• The Company may from time to time, without the consent of the Holders of the Notes, issue additional Notes (in any such case “Additional 2023 Notes”) having the same terms and conditions as the Initial 2023 Notes in all respects (or in all respects except for the Issue Date, the issue price or the first Interest Payment Date).

More Definitions of Initial 2023 Notes

Initial 2023 Notes means the 5.750% Senior Notes due 2023 issued by the Issuer on the Issue Date, any guarantees thereof, any exchange notes in respect thereof, and any guarantees of any such exchange notes.

Initial 2023 Notes means the first $1,525,000,000 aggregate principal amount of the 2023 Notes issued under this Supplemental Indenture on the date hereof.

Initial 2023 Notes means 2023 Notes in an aggregate principal amount of up to ¥25,000,000,000 initially issued under this First Supplemental Indenture in accordance with Section 1.1(3).

Initial 2023 Notes means the $500,000,000 in aggregate principal amount of the Company’s 4.25% Senior Notes due 2023 issued under this Supplemental Indenture on the Original Issue Date and that contains the Restricted Global Bond legend.

Initial 2023 Notes means $300,000,000 in aggregate principal amount of 2023 Notes issued under the Indenture on the date hereof.
