  • The number of Restricted Stock Units that are ultimately earned pursuant to the Award (if any) will be determined based on the Initial Award Value and the procedures and calculations set forth in this Agreement.

  • In no event will Executive be entitled to any compensation or payments under this Agreement following Executive's termination, or deemed termination, for Cause, provided that Executive's termination for Cause under this Agreement shall not affect Executive's rights with respect to any Initial Award Units that shall have vested at the time of termination.
