Initial Equity Contribution definition

Initial Equity Contribution. ’ means the amount or value of contributions made by non-Federal entities for the acquisition of the asset prior to occupancy of facilities.
Initial Equity Contribution has the meaning set forth in the Disbursement Agreement.

  • The Parties hereby agree that, in addition to the Initial Equity Contribution, Phase 1 shall be initially funded exclusively by Amyris Brasil by means of acquisition of warrants (bônus de subscrição) or other securities or debt convertible into equity securities issued by the Company or any other form of advance for a future equity contribution (“Securities”).


More Definitions of Initial Equity Contribution

Initial Equity Contribution means the amount of unreimbursed equity contributed by Borrower with respect to Project Costs for the Improvements prior to the initial funding of the Loans and as a condition thereto, which amount shall be not less than $73,000,000, as verified by the Administrative Agent pursuant to Schedule 4-Part A. For these purposes the amount of unreimbursed equity contributed by Borrower with respect to the cost of the Land shall be deemed to equal the Appraised Value thereof or $73,000,000, whichever is less.
Initial Equity Contribution means $39,000,000.
Initial Equity Contribution the direct or indirect contribution to Holdings by Parent on or prior to the Closing Date of cash in the form of common equity of Holdings (with such cash further contributed by Holdings on or prior to the Closing Date to the Borrower in the form of common equity), with a value in the aggregate of not less than $10,800,000, as evidenced by the pro forma unaudited consolidated balance sheet of the Borrower delivered to the Administrative Agent pursuant to Section 4.1(c) and certified to in an officer’s certificate from a Responsible Officer of the Borrower to the Administrative Agent.

Initial Equity Contribution has the meaning set forth in Section 8.20(a).
Initial Equity Contribution means a cash contribution by the Borrower (directly or indirectly) to the Concessionaire actually made prior to the date hereof, in the form of a subscription of newly issued shares of the Capital Stock of the Concessionaire, in an aggregate amount equal to U.S.$105,959,883.26.
